Welcome to Laude. By accessing or using our platform, you agree to be bound by these Terms & Conditions. Please read them carefully before using the Services.
1. Agreement and Parties
This agreement governs your use of Laude ("Platform") and any other services made available through it ("Services"). By using the Services, you agree to be bound by this agreement, which forms a binding contract between you ("User" or "you") and us, Laude (Company Number: [COMPANY_NUMBER], registered office: [REGISTERED_ADDRESS]) ("Laude", "the Company", "we" or "us").
The Services include: a rich-text editor for creating and organising study nodes; AI-powered features (summarisation, flashcard generation, exam creation, Voice Tutor); Rensei mastery tracking; a Marketplace for sharing and discovering study content; and associated account and subscription functionality.
We reserve the right to modify these Terms at any time. Changes will be effective upon posting. Your continued use of the Services after changes constitutes acceptance of the modified Terms.
2. Eligibility
The Services are not intended for unsupervised use by any person under the age of 13, or by any person who has previously been suspended or prohibited from using the Services. By using the Services, you represent and warrant that you are either:
- aged 13 or over and accessing the Services for personal study use; or
- a parent or guardian accessing on behalf of a person aged 13–17 and consenting to that person's use.
3. Accounts
To use most functionality, you must register for an account via Google OAuth. You warrant that all information you provide is accurate, honest, correct and up to date. You are responsible for:
- maintaining the confidentiality of your account credentials;
- all activities that occur under your account;
- immediately notifying us of any unauthorised use of your account at support@laude.study.
You must not share your account with any other person.
4. User Obligations
As a User, you agree not to:
- intimidate, harass, impersonate, stalk, threaten, bully or endanger any other user;
- distribute unsolicited commercial content, spam or bulk messages;
- use the Services for any illegal, fraudulent or unauthorised purpose;
- attempt to bypass, disable or circumvent any usage limits, rate limits or security measures;
- make any automated use of the Services or scrape, crawl or otherwise extract data without our prior written consent;
- copy, reproduce, translate, adapt or modify any part of the Services without our express written consent;
- reverse engineer, decompile or disassemble any part of the Services;
- act in any way that may harm the reputation of Laude or associated parties.
We may change any features of the Services at any time without prior notice. Information provided through the Services is general in nature and we take no responsibility for actions you take in reliance on it.
5. User Content
By providing or posting any content on the Services ("User Content"), you represent and warrant that:
- you have the right to provide the content;
- the content is accurate and true at the time it is provided;
- the content is free from harmful, discriminatory, defamatory or maliciously false material;
- the content does not infringe any intellectual property rights (copyright, trademarks, patents, confidential information) anywhere in the world;
- the content does not contain viruses or other harmful code;
- the content does not breach any applicable laws.
We act as a passive conduit for User Content and have no obligation to screen it in advance. However, we may, in our absolute discretion, review and remove any User Content at any time without explanation.
6. Licence
You retain ownership of all User Content you create. By using the Services, you grant Laude a worldwide, non-exclusive, royalty-free licence (including the right to sublicense) to store, process, display and use your User Content to the extent necessary to provide the Services.
When you publish content to the Marketplace, you additionally grant other users a non-exclusive licence to view, copy and use that content for their own personal educational purposes.
You indemnify Laude against all losses and expenses arising from any third-party claim that your User Content infringes any third-party intellectual property rights.
7. AI-Generated Content
7.1 Accuracy Disclaimer
⚠️ AI-generated content (summaries, flashcards, exam questions, Voice Tutor responses) may contain errors, inaccuracies or hallucinations. The AI is a study tool, not a substitute for verified educational sources.
You acknowledge and agree that:
- AI outputs are probabilistic and may be factually incorrect;
- you are solely responsible for verifying the accuracy of AI-generated content;
- Laude is not liable for any decisions made based on AI outputs;
- AI models (Google Gemini) are provided by third parties and subject to their limitations.
7.2 Voice Tutor
The Voice Tutor feature uses real-time AI conversation technology. You understand that:
- Voice Tutor is scoped to your node content and may decline off-topic questions;
- conversations may be analysed to update Rensei mastery scores (if enabled);
- voice data is processed via Google Cloud services and subject to their policies;
- usage is subject to limits based on your subscription plan.
7.3 Rensei Mastery Scores
Rensei scores are algorithmic estimates based on your exam, flashcard and voice conversation performance. They are intended for self-reflection and study planning, not academic evaluation, and are not guaranteed to correlate with real exam outcomes.
8. Subscriptions and Payments
8.1 Plans and Pricing
Laude offers multiple subscription plans (FREE, STUDENT, PRO, TEAM, ENTERPRISE) with varying features and usage limits. Prices are shown on our pricing page and may change with 30 days' notice.
8.2 Billing
Paid plans are billed monthly or annually. By subscribing, you authorise us to charge your payment method via Stripe. Subscriptions auto-renew unless cancelled before the renewal date.
8.3 Refunds
We offer a 7-day money-back guarantee for first-time subscribers. Refunds for other circumstances are handled on a case-by-case basis. Contact support@laude.study for refund requests.
8.4 Usage Limits
AI features are subject to daily token limits and rate limits based on your plan. We reserve the right to adjust limits to ensure fair usage across all users.
9. Intellectual Property
9.1 Our Intellectual Property
The Services, including their design, code, features and branding, are owned by Laude and protected by copyright, trade mark and other intellectual property laws. You may not copy, modify, distribute or reverse engineer any part of the Services without our prior written consent.
9.2 Your Content
You retain ownership of all content you create. Our licence to use your content is limited to what is necessary to provide the Services, as described in clause 6 above.
10. Online Payment Partner
We use Stripe to process payments. By using the Services to make payments, you agree to comply with Stripe's terms and conditions. To the maximum extent permitted by law, Laude is not responsible for outages, errors or security incidents caused by Stripe.
11. Service Limitations
The Services are made available strictly on an "as is" basis. We do not represent, warrant or guarantee that:
- the Services will be free from errors or defects;
- the Services will be accessible at all times;
- information received through the Services will be secure or confidential;
- any information provided through the Services is accurate or true.
12. Third-Party Services
The Services integrate with third-party providers including Google Cloud Platform, Google OAuth, Stripe and Resend. Your use of these services is subject to their respective terms and policies. Laude is not responsible for third-party service failures or policy changes.
13. Content Moderation
We reserve the right to remove or restrict content that violates these Terms, contains illegal or harmful material, infringes intellectual property rights, or is otherwise detrimental to the Services or other users.
14. Disputes
If you have a complaint, please contact us at support@laude.study. We will assess it and attempt to resolve it promptly. Nothing in these Terms prevents you from exercising any legal rights or remedies available to you.
15. Security
We do not accept responsibility for loss or damage to devices arising from your use of the Services. You should take your own precautions to ensure that the process you use to access the Services does not expose you to viruses or other harmful code.
16. Limitation of Liability
To the maximum extent permitted by law:
- the Services are provided "as is" without warranties of any kind;
- Laude is not liable for any indirect, consequential, special or incidental loss, or for any loss of profit, revenue, business opportunity, goodwill or anticipated savings;
- our total liability to you for any claims relating to the Services is limited to the amounts you paid us in the 12 months preceding the claim.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
17. Indemnification
You agree to indemnify and hold harmless Laude, its affiliates and employees from any claims, damages, losses, costs and expenses (including legal fees) arising from: your use of the Services; your breach of these Terms; your violation of any third-party rights; or content you publish or share through the Services — except to the extent caused by our own breach or negligence.
18. Termination
We may suspend, restrict or terminate your access to the Services where we reasonably consider it necessary for legal, regulatory, operational, safety, security, fraud-prevention or reputational reasons, or where you have breached these Terms. Where reasonably practicable, we will give notice of that action.
You may delete your account at any time through Settings. Upon termination, your content will be permanently deleted after a 30-day grace period.
Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification and governing law) will continue to apply.
19. Privacy
You agree to be bound by our Privacy Policy, which forms part of these Terms and explains how we collect, use and protect your personal data.
20. Governing Law and Jurisdiction
These Terms are governed by the law of England and Wales. Each party irrevocably submits to the exclusive jurisdiction of the courts of England and Wales in respect of any proceedings arising out of or in connection with these Terms, and irrevocably waives any objection to proceedings being brought in an inconvenient forum.
21. General
Third-Party Rights
These Terms do not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this agreement.
Waiver
No party may rely on the words or conduct of the other as a waiver of any right unless the waiver is in writing and signed by the party granting it.
Severance
Any term that is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The remainder of these Terms is not affected.
Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between the parties and supersede any prior negotiations, arrangements or understandings relating to the subject matter.
Interpretation
Words in the singular include the plural and vice versa. References to a "person" include an individual, corporation or other entity. Headings are for convenience only and do not affect interpretation. The word "includes" is not a word of limitation.
