Welcome to Laude. By accessing or using our platform, you agree to be bound by these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By creating an account, accessing, or using Laude ("the Service"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

Laude is an AI-powered study platform that helps students organize notes, generate study materials, track concept mastery, and learn more effectively. The Service includes:

  • A rich-text editor for creating study nodes with various content blocks
  • AI-powered features (summarization, flashcard generation, exam creation, voice tutoring)
  • Rensei mastery tracking system
  • Marketplace for sharing and discovering study content
  • Study calendar and planning tools
  • Voice Tutor for real-time conversational learning

3. User Accounts and Responsibilities

3.1 Account Creation

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.2 Acceptable Use

You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction
  • Upload malicious content (viruses, malware, harmful scripts)
  • Harass, abuse, or harm other users
  • Attempt to bypass usage limits or security measures
  • Share your account with others
  • Scrape, crawl, or automate access to the Service without permission
  • Reverse engineer or decompile any part of the Service

4. AI-Generated Content Disclaimers

4.1 Accuracy and Reliability

⚠️ IMPORTANT: AI-generated content (summaries, flashcards, exams, Voice Tutor responses) may contain errors, inaccuracies, or hallucinations. The AI is a learning tool, NOT a substitute for verified educational sources.

You acknowledge and agree that:

  • AI outputs are probabilistic and may be factually incorrect
  • You are solely responsible for verifying the accuracy of AI-generated content
  • Laude is NOT liable for decisions made based on AI outputs
  • AI models (Google Gemini) are provided by third parties and subject to their limitations

4.2 Voice Tutor Specific Disclaimers

The Voice Tutor feature uses real-time AI conversation technology. You understand that:

  • Voice Tutor is context-limited to your node content and may refuse off-topic questions
  • Conversations are analyzed to update Rensei mastery scores (if enabled)
  • Voice data is processed using Google Cloud services and subject to their policies
  • Usage is limited based on your subscription plan (e.g., 1.5 hours/week for STUDENT plan)

4.3 Rensei Mastery Scores

Rensei provides estimated mastery percentages based on your performance in exams, flashcards, and voice conversations. These scores are:

  • Algorithmic estimates, not absolute measures of knowledge
  • Intended for self-reflection and study planning, not academic evaluation
  • Not guaranteed to correlate with actual exam performance

5. Intellectual Property

5.1 Laude's Intellectual Property

The Service, including its design, code, features, and branding, is owned by Laude and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

5.2 User Content

You retain ownership of all content you create in Laude (notes, nodes, drawings, etc.). By using the Service, you grant Laude a worldwide, non-exclusive, royalty-free license to:

  • Store, process, and display your content to provide the Service
  • Use AI models (Gemini) to analyze your content for features like summarization and Rensei
  • Create backups and derivative works necessary for Service operation

5.3 Published/Marketplace Content

When you publish a node to the Marketplace, you grant:

  • Other users: A license to view, copy, and modify your published content for personal educational use
  • Laude: A license to display, distribute, and promote your published content

You represent that you have the right to publish the content and that it does not infringe on third-party rights.

6. Subscriptions and Payments

6.1 Plans and Pricing

Laude offers multiple subscription plans (FREE, STUDENT, PRO, TEAM, ENTERPRISE) with varying features and usage limits. Prices are displayed on our pricing page and may change with 30 days notice.

6.2 Billing

Paid plans are billed monthly or annually. By subscribing, you authorize us to charge your payment method. Subscriptions auto-renew unless canceled before the renewal date.

6.3 Refunds

Refunds are handled on a case-by-case basis. Generally, we offer a 7-day money-back guarantee for first-time subscribers. Contact support@laude.study for refund requests.

6.4 Usage Limits

AI features are subject to daily token limits and rate limits based on your plan. Excessive usage may result in temporary feature restrictions. We reserve the right to adjust limits to ensure fair usage.

7. Data and Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your data.

8. Third-Party Services

Laude integrates with third-party services, including:

  • Google Cloud Platform: AI models (Gemini), storage, speech services
  • Google OAuth: Authentication
  • Stripe: Payment processing
  • Resend: Transactional emails

Your use of these services is subject to their respective terms and policies. Laude is not responsible for third-party service failures or policy changes.

9. Content Moderation

We reserve the right to remove or hide content that:

  • Violates these Terms
  • Contains illegal, harmful, or offensive material
  • Infringes on intellectual property rights
  • Is spam or low-quality content designed to manipulate the Marketplace

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • The Service is provided "AS IS" without warranties of any kind
  • We do not guarantee that the Service will be uninterrupted, secure, or error-free
  • We are NOT liable for any indirect, incidental, or consequential damages arising from your use of the Service
  • Our total liability to you for any claims related to the Service is limited to the amount you paid us in the 12 months preceding the claim

Educational Disclaimer: Laude is a study tool. We are not responsible for academic outcomes, exam performance, or educational decisions made using the Service.

11. Indemnification

You agree to indemnify and hold harmless Laude, its affiliates, and employees from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you publish or share through the Service

12. Termination

We may suspend or terminate your account at any time for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of subscription fees
  • Extended inactivity (with prior notice)

You may delete your account at any time through Settings. Upon termination, your content will be permanently deleted after 30 days (grace period for recovery).

13. Governing Law and Disputes

These Terms are governed by applicable laws. Any disputes will be resolved through binding arbitration, except where prohibited by law.
